When you purchase registered agent services through Keystone Filings, the actual registered agent services are provided by a qualified third-party registered agent service provider. Keystone Filings acts as an authorized reseller and facilitates your access to these services. The third-party provider is responsible for accepting service of process, legal notices, and government correspondence on behalf of your business entity in accordance with applicable state laws. By purchasing registered agent services, you agree to the terms and conditions of the third-party provider, and acknowledge that Keystone Filings is not directly providing registered agent services but is coordinating such services on your behalf.

2. SMS Text Messaging Service Terms

Keystone Filings offers an optional SMS text messaging service for business formation inquiries and customer support.

Consent to Receive SMS

By texting keywords such as "START," "OPEN," "LLC," or similar terms to our designated phone number, you expressly consent to receive text messages from Keystone Filings. This consent is not required as a condition of purchasing any goods or services.

4. Fees and Payment

You agree to pay all fees associated with the services you order. This includes our service fees and any government filing fees. Government filing fees are non-refundable once paid to the state. Our service fees are subject to our Refund Policy. All payments are due upon placement of your order.

Keystone Filings is committed to offering competitive, transparent pricing. We stand behind our services with a Lowest Price Guarantee: if you find a lower online advertised price from another business formation service provider for the exact same service and the same processing timeline, we will meet or beat that price.

How to claim: Prior to completing your purchase, contact us at support@keystonefilings.com or call (833) 673-6552 and provide a link or documentation of the competitor's publicly advertised price. We will review and respond promptly.

Conditions: The guarantee applies to service fees only, for the identical service type and processing timeline offered by a licensed and verifiable competitor. State government filing fees are government-mandated charges set by each state, are not within our control, and are not subject to this guarantee. The guarantee applies to publicly advertised prices only — promotional codes, limited-time flash sales, or bundled discounts of a different scope do not qualify.

All service fees are clearly disclosed before checkout. Our quoted service fee will not increase after your order is confirmed.

5. Prohibited Activities

You may not use our services for any illegal or fraudulent purpose, or to submit false or misleading information.

To the fullest extent permitted by law, Keystone Filings shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the services; (b) any errors or omissions in filings based on information you provided; or (c) any rejection or delay by the filing agency. Our liability to you for any cause whatsoever, and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to us for the service.

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.
